[TKI Webinar] Due Diligence in India: What Japanese Acquirers and JV Partners Commonly Miss
Due Diligence in India: What Japanese Acquirers and JV Partners Commonly Miss
Tokyo International Law Office (TKI) is pleased to invites you to our seminar, "Due Diligence in India: What Japanese Acquirers and JV Partners Commonly Miss."
Japanese companies are known for careful, detailed due diligence, and that reputation is well deserved. In India, however, being thorough with the documents in the data room is only half the job.
Many Indian targets, especially mid-sized and promoter-run businesses, keep their records differently from what a Japanese buyer expects. Documents may be incomplete, scattered across offices, or available only as scanned copies in Hindi or a regional language. Licences may have lapsed or may still be held in the name of an old entity, and the line between the promoter family's personal affairs and the company's business is often blurred. The biggest risks are often not in the data room at all: they come to light during site visits, management interviews and conversations with local advisers.
In this seminar, we will look at where these gaps usually appear, why they matter to a Japanese parent company, and how to turn diligence findings into practical decisions on price, contractual protection and closing conditions.
We hope this seminar will help you approach your next transaction in India with greater confidence.
※This seminar will be held via Zoom Webinar, so you are welcome to join from your home or office.
