We advise on a wide range of domestic and cross-border financing transactions as well as on Japanese financial laws, regulations and practice, including the Banking Law, Insurance Business Law, the Financial Instruments and Exchange Act (FIEA) and the Investment Trust and Investment Corporation Act. With our extensive experience, we are also able to provide strategic advice to banks, insurance companies, financial institutions, and FinTech companies operating in Japan.

We assist companies to meet their financial needs by offering advice on equity finance on Regulation S and Rule 144A offerings, Japanese domestic offerings of shares of listed companies including IPOs, as well as the public offering of bonds including bonds with stock acquisition rights. We also advise on various bank loans as well as acquisition finance for M&A, and on complex project finance transactions. In addition, we advise clients on structuring and fund formation for various types of investment schemes.

Our practice includes providing advice on domestic and international financial regulatory laws that apply to financial institutions.  We support the development and implementation of risk management and compliance programs, and offer guidance to banks, insurance companies, and other financial institutions on their business operations overseas.
